Agreement to Terms
By accessing or using Retention Health's platform and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
Service Description
Retention Health provides white-label retention infrastructure for subscription-based healthcare programs. Our platform offers behavioral nutrition support tools designed to support patient retention during early program phases.
Not Medical Advice
Important: Retention Health does not provide medical advice, diagnosis, or treatment. Our platform provides behavioral nutrition support tools only. It does not:
- Replace medical advice or clinical decision-making
- Modify prescribed medication protocols
- Serve as a clinical decision engine
- Replace qualified healthcare providers
Clinic partners are solely responsible for maintaining clinical oversight of patient care and ensuring appropriate medical supervision.
Clinic Partner Obligations
Clinic partners using Retention Health agree to:
- Maintain all necessary healthcare licenses and certifications
- Obtain appropriate patient consents
- Comply with applicable healthcare regulations (including HIPAA where applicable)
- Provide appropriate clinical oversight
- Use the platform only for lawful purposes
- Not misrepresent the platform's capabilities to patients
Pilot Programs
Pilot program terms are established through separate agreements. Pilot participation does not guarantee continued service or specific outcomes.
Pricing and Payment
Pricing is based on active seat volume and is established through individual agreements with clinic partners. Payment terms are specified in service agreements.
Intellectual Property
Retention Health retains all rights to the platform, including software, algorithms, and documentation. Clinic partners receive a limited license to use the platform for their operational purposes only.
Data Ownership
Clinic partners retain ownership of their patient data. Retention Health processes data solely to provide services as outlined in our Privacy Policy and service agreements.
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.
Limitation of Liability
To the maximum extent permitted by law, Retention Health shall not be liable for:
- Medical outcomes or patient health decisions
- Indirect, incidental, or consequential damages
- Loss of revenue or business opportunities
- Data loss due to clinic partner actions
Our total liability shall not exceed the fees paid by the clinic partner in the preceding 12 months.
No Guarantees
We do not guarantee specific retention improvements, revenue outcomes, or patient engagement levels. Results vary by program and implementation.
Termination
Either party may terminate services according to the terms specified in individual service agreements. Upon termination, access to the platform will be discontinued.
Modifications to Terms
We reserve the right to modify these Terms of Service. Material changes will be communicated to clinic partners via email with reasonable notice.
Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Colorado.
